1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of VoiceQuik, an AI-powered voice and customer engagement platform operated by LDT Technology ("VoiceQuik," "we," "us," or "our"), including our website, dashboards, APIs, AI voice agents, messaging features, and related services (collectively, the "Services").
By creating an account, accessing the website, or using the Services, you agree to these Terms. If you are using VoiceQuik on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Services.
2. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use VoiceQuik. The Services are intended for business and professional use.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized access. We may suspend or terminate accounts that we reasonably believe are compromised, misused, or in violation of these Terms.
3. The VoiceQuik services
VoiceQuik enables businesses to configure and deploy AI voice and chat agents for use cases such as lead qualification, customer support, appointment booking, virtual reception, and helpdesk automation, and to connect with tools such as CRMs, calendars, and messaging channels (including WhatsApp where available).
We may modify, improve, or discontinue features from time to time. Where a change materially reduces core paid functionality, we will use reasonable efforts to provide notice. Beta or preview features may be offered “as is” and may change or end without notice.
4. Your responsibilities
You are responsible for:
- Configuring agents, scripts, knowledge sources, and workflows appropriately for your business and brand.
- Ensuring you have all rights, notices, and consents required to record calls, process personal data, and contact end users through VoiceQuik (including telemarketing, consent, and disclosure rules that apply to you).
- Content you upload, prompts you configure, and data you send through the Services (“Customer Content”).
- Compliance with applicable laws, industry regulations, and third-party platform policies (for example, WhatsApp, HubSpot, telephony carriers).
- Not using VoiceQuik for unlawful, harmful, deceptive, or abusive purposes.
5. Acceptable use
You agree not to:
- Use the Services to harass, defraud, spam, or make unsolicited communications in violation of law.
- Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Services or related systems.
- Upload malware or content that infringes intellectual property, privacy, or other rights.
- Misrepresent VoiceQuik agents as human where disclosure is legally required, or use the Services to impersonate others without authorization.
- Resell, sublicense, or provide the Services to third parties except as expressly permitted in a written agreement with us.
- Use the Services in high-risk scenarios where failure could lead to death, personal injury, or severe environmental or financial harm without our prior written approval.
6. AI-generated outputs
VoiceQuik uses artificial intelligence and automated systems. Outputs — including spoken responses, transcripts, summaries, lead scores, and suggested actions — may be incomplete, inaccurate, or unexpected. You should review critical outputs and maintain appropriate human oversight for your use case.
You acknowledge that AI performance depends on your configuration, data quality, network conditions, third-party models or providers, and end-user behavior. VoiceQuik does not guarantee uninterrupted availability, perfect transcription accuracy, or specific business outcomes (such as conversion rates or appointment volumes).
7. Customer content and licenses
As between you and VoiceQuik, you retain ownership of Customer Content. You grant us a non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Content solely to provide, maintain, secure, and improve the Services, and as otherwise described in our Privacy Policy.
You represent that you have all rights necessary to provide Customer Content and to grant the license above. We may remove or restrict content that violates these Terms or applicable law.
8. Intellectual property
VoiceQuik, including software, branding, documentation, and the look and feel of the Services, is owned by LDT Technology or its licensors and is protected by intellectual property laws. Except for the limited right to access and use the Services under these Terms, no rights are granted to you.
Feedback you provide may be used by us without obligation or compensation to improve the Services.
9. Third-party services and integrations
The Services may interoperate with third-party products (for example, CRMs, messaging platforms, payment processors, telephony providers, or AI vendors). Your use of those products is governed by their terms and privacy policies. We are not responsible for third-party services, outages, or changes that affect VoiceQuik features.
Enabling an integration authorizes us to exchange data with that provider as needed to deliver the connected functionality you configured.
10. Fees, plans, and billing
Paid plans, usage fees, and billing terms are described on our pricing pages or in a separate order form or agreement. Fees are generally non-refundable except where required by law or expressly stated otherwise.
You authorize us (and our payment processors) to charge applicable fees, taxes, and overages to your selected payment method. Failure to pay may result in suspension or termination of access. We may change pricing with reasonable notice for subsequent billing periods.
11. Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood as confidential. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that policy. Where we process personal data on your behalf as a processor, you instruct us to do so to provide the Services and related support.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be error-free, secure, or uninterrupted, or that AI outputs will meet your requirements.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEQUIK AND LDT TECHNOLOGY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU USE ONLY A FREE PLAN, ONE HUNDRED U.S. DOLLARS).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
15. Indemnification
You will defend, indemnify, and hold harmless VoiceQuik, LDT Technology, and our officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Content; (b) your use of the Services; (c) your violation of these Terms or applicable law; or (d) your interactions with end users, including call recording and consent obligations.
16. Suspension and termination
You may stop using the Services at any time and may request account closure by contacting us. We may suspend or terminate access immediately if you breach these Terms, create risk or legal exposure for us or others, or fail to pay fees when due.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.
17. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a separate written agreement with LDT Technology states otherwise. Courts located in India will have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer protections that cannot be waived.
18. Changes to these terms
We may update these Terms from time to time. We will revise the “Last updated” date at the top of this page and, for material changes, provide additional notice through the Services or by email where appropriate. Continued use after the effective date of updated Terms constitutes acceptance.
19. General
These Terms, together with any order form, plan description, and our Privacy Policy, form the entire agreement between you and us regarding the Services and supersede prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
